1. Acceptance of Terms

By downloading, installing, accessing, or using any mobile application ("App" or "Apps") published by Descanso 247 Holdings LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Apps.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Descanso 247 Holdings LLC ("Company," "we," "us," or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or in-app notification. Your continued use of our Apps after such modifications constitutes acceptance of the updated Terms.

2. Apps Covered by These Terms

These Terms apply to all mobile applications published by Descanso 247 Holdings LLC, including:

Mundial Bracket 2026 (WC2026 Bracket) — Sports prediction pools for FIFA World Cup 2026

Additional apps may be added to this list as they are released. All apps are subject to these Terms unless otherwise stated.

3. Description of Services

Our Apps provide entertainment and utility services, which may include:

Creating and joining groups or pools
Making predictions or selections
Competing on leaderboards with other users
Tracking scores, rankings, or progress

Our Apps are for entertainment purposes only. Unless explicitly stated otherwise, no real money, prizes, or gambling is involved.

4. User Accounts

4.1 Account Creation

To use certain features of the App, you must create an account by providing:

A valid email address
A password meeting our security requirements
A display name

You may also sign in using supported third-party authentication providers (e.g., Google, Apple).

4.2 Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Ensuring your account information is accurate and current

4.3 Account Restrictions

You must be at least 13 years of age to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use our Apps.

You may only maintain one account per App. Creating multiple accounts to manipulate content, leaderboards, or circumvent restrictions is prohibited.

4.4 Account Deletion

You may delete your account at any time through the App's Settings menu. Upon deletion:

Your personal data will be permanently removed
Your user-generated content and memberships will be deleted
This action cannot be undone

5. Prohibited Conduct

You agree NOT to:

5.1 Abuse and Manipulation

Create multiple accounts or share accounts with others
Manipulate content, scores, or leaderboards through any means
Use bots, scripts, or automated tools to interact with our Apps
Exploit bugs, glitches, or vulnerabilities (report them to us instead)

5.2 Harmful Content

Post offensive, abusive, hateful, or discriminatory content
Harass, threaten, or intimidate other users
Impersonate other users, Company employees, or any other person
Post spam, advertisements, or promotional content

5.3 Illegal Activities

Use our Apps for any illegal purpose
Violate any applicable local, state, national, or international law
Infringe on intellectual property rights of others
Collect or harvest user data without authorization

5.4 System Integrity

Attempt to gain unauthorized access to our Apps, servers, or databases
Interfere with or disrupt App operation or infrastructure
Circumvent, disable, or interfere with security features
Reverse engineer, decompile, or disassemble our Apps

Violation of these prohibitions may result in immediate account termination without notice.

6. User Content

6.1 Your Content

You retain ownership of content you submit to our Apps, including:

Group or pool names and descriptions
Display names and profile information
Predictions, selections, or other user-generated data

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely for operating and improving our Apps.

6.2 Content Standards

Your content must not violate these Terms or any applicable law. We reserve the right to remove content that violates these standards without notice.

6.3 No Monitoring Obligation

We are not obligated to monitor user content but reserve the right to do so. We are not responsible for content posted by users.

7. Intellectual Property

7.1 Our Intellectual Property

Our Apps, including their design, features, graphics, logos, and content (excluding user content), are owned by Descanso 247 Holdings LLC and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Apps without our written permission.

7.2 Trademarks

"Descanso 247," "Mundial Bracket 2026," "WC2026 Bracket," and associated logos are trademarks of Descanso 247 Holdings LLC. You may not use these trademarks without our prior written consent.

7.3 Third-Party Content

Our Apps may display third-party content such as sports schedules, team names, and tournament information. These are used for informational purposes only. Third-party marks (e.g., FIFA, World Cup) are trademarks of their respective owners. We are not affiliated with, endorsed by, or sponsored by any third-party organization unless explicitly stated.

8. Disclaimers

8.1 "As Is" Basis

OUR APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR COMPLETENESS OF CONTENT

8.2 No Guarantees

We do not guarantee that:

Our Apps will be available at all times or without interruption
Data, scores, or results will be accurate or timely
Errors or defects will be corrected
Our Apps are free of viruses or harmful components

8.3 Third-Party Data

Some features may rely on data from third-party sources. We are not responsible for errors in third-party data, scoring calculations, or rankings caused by data inaccuracies or system errors.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESCANSO 247 HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL
ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE OUR APPS
ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
ANY DAMAGES ARISING FROM ERRORS IN DATA OR SCORING

9.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

9.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN YOU AND US.

10. Indemnification

You agree to indemnify, defend, and hold harmless Descanso 247 Holdings LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of our Apps
Your violation of these Terms
Your violation of any rights of another party
Your user content

11. Termination

11.1 Termination by You

You may terminate your account at any time by using the account deletion feature in the App or by contacting us at support@descanso247.com.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms
You engage in prohibited conduct
We are required to do so by law
We discontinue an App

11.3 Effect of Termination

Upon termination:

Your right to use our Apps ceases immediately
Your account data will be deleted in accordance with our Privacy Policy
Provisions that by their nature should survive (including Sections 8, 9, 10, 12, and 13) will remain in effect

11.4 No Liability for Termination

We shall not be liable to you or any third party for any termination of your access to our Apps.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12.2 Venue

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

12.3 Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at support@descanso247.com. We will attempt to resolve the dispute within 30 days.

12.4 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Time Limitation

Any claim arising from these Terms must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy (available at https://descanso247.com/apps/privacy), constitute the entire agreement between you and us regarding our Apps.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

13.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
